The attorneys of Lewis Brisbois’ mergers and acquisitions team understand that the core focus of our clients’ M&A deals is strategic growth and financial productivity. More than just structuring and negotiating deals, our attorneys leverage Lewis Brisbois’ considerable professional network to identify and vet financial advisors, introduce financing options, and identify new and untapped opportunities in the marketplace. We assist our clients in a wide array of transactions including joint ventures and strategic alliances, leveraged buyouts, stock sales, asset sales and mergers, acquisition financing, corporate governance matters and tax structuring, private equity, venture capital and complex mezzanine debt structures, among others. Our team has particular experience addressing the issues of development state and emerging growth companies and our fee structure is sensitive to the budgets associated with middle and lower middle market transactions as well as much larger deals.

We identify potential problems early in the sale or transaction-negotiation process and assist clients to structure transactions to avoid or minimize potential antitrust risk. If a transaction is reportable under the Hart-Scott-Rodino Antitrust Improvements Act of 1976 (“HSR”) we navigate the merger review process on behalf of our clients as cost-effectively and expeditiously as possible. We appear before the Federal Trade Commission (“FTC”) and the Antitrust Division of the U.S. Department of Justice (“DOJ”) in the United States and are familiar with the analytical approach and information gathering techniques employed by the federal antitrust enforcers. Many complex transactions are also reviewed by state attorneys general and/or international competition authorities. In addition, we regularly assist clients seeking to raise concerns regarding the anticompetitive actions of suppliers or competitors with the FTC, DOJ, or relevant state attorney general(s).
